1. ACCEPTANCE OF TERMS 

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sweet Leaf Finance (also referred to as "Company," "we," "us," or "our"), an LLC, governing your access to and use of the website located at www.sweetleaffinance.com (the "Site"), including all subdomains, associated applications, and any content, functionality, and services offered on or through the Site. 

By accessing, browsing, or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Site. 

Your continued use of the Site following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to update or modify these Terms at any time without prior notice, effective upon posting to the Site. The "Last Updated" date at the top of this document reflects the date of the most recent revision.

2. DESCRIPTION OF SERVICES 

Sweet Leaf Finance provides cannabis industry debt financing services, which may include but are not limited to: 

  • Debt financing and lending solutions tailored to licensed cannabis businesses 

  • Equipment financing for cannabis cultivation, processing, and retail operations 

  • Working capital loans and lines of credit for cannabis operators 

  • Real estate and commercial property financing for cannabis-related facilities 

  • Bridge loans and short-term financing for cannabis license holders 

  • Financial advisory and consulting services related to cannabis business operations 

The Site serves as an informational resource and a point of contact for potential borrowers. Nothing on this Site constitutes a binding offer to lend, a commitment to provide financing, or a guarantee of loan approval. All financing is subject to underwriting review, credit approval, and execution of definitive loan documentation.

3. ELIGIBILITY 

By using this Site, you represent and warrant that: 

  • You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; 

  • You have the legal authority to enter into these Terms and to form a binding agreement under applicable law; 

  • If accessing or using the Site on behalf of a business entity, you have the authority to bind that entity to these Terms; 

  • You are not a person barred from using the Site under the laws of the United States or any other applicable jurisdiction; 

  • You comply with all applicable federal, state, and local laws, including but not limited to all cannabis-related licensing and regulatory requirements in your jurisdiction.

4. USER ACCOUNTS & REGISTRATION 

Certain features of the Site may require you to create an account or submit a loan application. When registering or submitting information, you agree to: 

  • Provide accurate, current, and complete information as prompted by the registration or application forms; 

  • Maintain and promptly update your account information to keep it accurate, current, and complete; 

  • Maintain the confidentiality and security of your account credentials, including your password; 

  • Accept responsibility for all activities that occur under your account; 

  • Immediately notify Sweet Leaf Finance of any unauthorized use of your account or any other breach of security. 

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users.

5. USE OF THE WEBSITE 

Subject to your compliance with these Terms, Sweet Leaf Finance grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes related to exploring or obtaining cannabis debt financing services. This license does not include the right to: 

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Site; 

  • Use any data mining, robots, scraping, or similar data gathering or extraction methods on the Site; 

  • Download (other than page caching) any portion of the Site, except as expressly permitted by us; 

  • Use the Site or its content for any commercial purpose not directly related to engaging Sweet Leaf Finance's services.

6. PROHIBITED CONDUCT 

You agree not to: 

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation, including cannabis-specific regulations; 

  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; 

  • Interfere with or disrupt the Site or servers or networks connected to the Site; 

  • Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site; 

  • Use the Site to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature; 

  • Upload, post, or transmit any content that is defamatory, obscene, fraudulent, or otherwise objectionable; 

  • Collect or harvest any personally identifiable information from the Site without authorization; 

  • Submit false or misleading information in connection with any loan application or inquiry; 

  • Engage in any conduct that restricts or inhibits any other person from using or enjoying the Site.

7. INTELLECTUAL PROPERTY RIGHTS 

All content on the Site, including but not limited to text, graphics, logos (including the Sweet Leaf Finance name and logo), images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, "Site Content"), is the property of Sweet Leaf Finance or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 

The Sweet Leaf Finance name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Sweet Leaf Finance or its affiliates or licensors. You may not use such marks without the prior written permission of Sweet Leaf Finance. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

8. THIRD-PARTY LINKS & SERVICES 

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Sweet Leaf Finance. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Sweet Leaf Finance shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. 

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

9. FINANCIAL DISCLAIMERS 

No Offer or Commitment. The information provided on this Site is for general informational purposes only and does not constitute an offer to lend, a solicitation of an offer to borrow, a commitment to provide financing, a commitment to make a loan, or a guarantee of specific loan terms or rates. All loan applications are subject to our underwriting criteria, credit review, verification procedures, and approval process. 

No Financial Advice. Nothing on this Site constitutes financial, investment, tax, legal, or accounting advice. You should consult with qualified professionals who are familiar with your particular factual situation before making any financial decisions. 

Rate and Term Variability. Any interest rates, loan terms, fees, or other financial terms displayed on the Site are subject to change without notice and may differ from the terms offered to you based on your creditworthiness, collateral, loan amount, and other factors determined during the underwriting process. 

Regulatory Compliance. Sweet Leaf Finance operates in compliance with applicable state and federal laws. Cannabis remains classified as a controlled substance under federal law. Users acknowledge the inherent legal risks associated with the cannabis industry and financing activities related thereto.

10. PRIVACY & DATA COLLECTION 

Your use of the Site is also governed by our Privacy Policy, which is available at PRIVACY POLICY URL. The Privacy Policy describes our practices regarding the collection, use, disclosure, and protection of your personal information. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy. 

We may collect the following categories of information through the Site: 

  • Identifiers: name, email address, phone number, mailing address, company name, EIN/Tax ID 

  • Financial Information: business revenue data, financial statements, banking information submitted in connection with loan applications 

  • Commercial Information: cannabis license information, business type, records of services inquired about or obtained 

  • Internet/Electronic Activity: browsing history on the Site, search history, interaction data with the Site 

  • Geolocation Data: approximate location derived from IP address 

  • Professional/Employment Information: business ownership details, role, title, and years of operation

11. CALIFORNIA CONSUMER PRIVACY ACT (CCPA) & CALIFORNIA PRIVACY RIGHTS ACT (CPRA) 

This Section applies solely to visitors, users, and others who reside in the State of California and supplements the information contained in these Terms and our Privacy Policy. This section is provided to comply with the California Consumer Privacy Act of 2018 (Cal. Civ. Code §§ 1798.100–1798.199.100), as amended by the California Privacy Rights Act of 2020 ("CPRA") (collectively, the "CCPA"), and any regulations promulgated thereunder by the California Privacy Protection Agency ("CPPA").

11.2 — Sources of Personal Information 

We obtain the categories of personal information listed above from the following sources: 

  • Directly from you: information you provide when filling out forms, submitting loan applications, creating an account, contacting us, or otherwise interacting with the Site; 

  • Indirectly from you: limited technical information collected automatically through strictly-necessary cookies and our hosting provider's first-party site analytics, as detailed in our Privacy Policy; 

  • Third-party sources: credit bureaus, public records, identity verification services, business data providers, and referral partners. 

11.3 — Business and Commercial Purposes for Collecting Personal Information 

We may use or disclose the personal information we collect for one or more of the following business or commercial purposes: 

  • To process and evaluate loan applications and financing inquiries; 

  • To verify your identity, cannabis license status, and creditworthiness; 

  • To communicate with you regarding your inquiries, applications, or account; 

  • To provide, maintain, and improve the Site and our services; 

  • To detect, prevent, and address fraud, security breaches, and technical issues; 

  • To comply with applicable laws, regulations, and legal processes; 

  • To enforce our Terms of Use and other agreements; 

  • For internal record-keeping, analytics, and auditing purposes; 

  • To personalize your experience on the Site and deliver relevant content. 

11.4 — Disclosure of Personal Information 

In the preceding twelve (12) months, we may have disclosed personal information for a business purpose to the following categories of third parties: 

  • Service Providers: IT providers, hosting services, payment processors, identity verification services, credit reporting agencies, and loan servicers; 

  • Business Partners: co-lenders, loan participants, investors, and referral partners; 

  • Legal/Regulatory: government agencies, regulators, law enforcement, and legal counsel as required by law; 

  • Professional Advisors: accountants, auditors, attorneys, and consultants. 

11.5 — Sale and Sharing of Personal Information 

Under the CCPA/CPRA, "sale" means disclosing personal information to a third party for monetary or other valuable consideration, and "sharing" means disclosing personal information for cross-context behavioral advertising. 

Option A: Sweet Leaf Finance does NOT sell or share personal information of California consumers and has not done so in the preceding twelve (12) months. 

11.6 — Sensitive Personal Information 

Under the CPRA, consumers have the right to limit the use and disclosure of "sensitive personal information." If we collect sensitive personal information (as defined under Cal. Civ. Code § 1798.140(ae)), we will only use or disclose it for the purposes authorized under the CPRA, unless you provide consent for additional uses. 

11.7 — Your Rights Under the CCPA/CPRA 

If you are a California resident, you have the following rights: 

(a) Right to Know / Right of Access. You have the right to request that we disclose to you: (i) the categories of personal information collected; (ii) the categories of sources; (iii) the business or commercial purpose for collecting, selling, or sharing; (iv) the categories of third parties to whom we disclose personal information; and (v) the specific pieces of personal information collected about you. 

(b) Right to Delete. You have the right to request that we delete any personal information we have collected from you, subject to certain exceptions (e.g., if the information is necessary to complete a transaction, detect security incidents, comply with a legal obligation, or enable internal uses reasonably aligned with consumer expectations). 

(c) Right to Correct. You have the right to request that we correct any inaccurate personal information we maintain about you, taking into account the nature of the personal information and the purposes of the processing. 

(d) Right to Opt Out of Sale/Sharing. You have the right to direct us to not sell or share your personal information. If applicable, you may exercise this right through the "Do Not Sell or Share My Personal Information" link on the Site. 

(e) Right to Limit Use of Sensitive Personal Information. If we collect sensitive personal information, you have the right to limit its use and disclosure to that which is necessary to perform the services or provide the goods reasonably expected by an average consumer. 

(f) Right to Non-Discrimination. We will not discriminate against you for exercising any of your CCPA/CPRA rights. We will not deny you goods or services, charge you different prices or rates, provide you a different level or quality of goods or services, or suggest that you may receive a different price or rate or different level or quality of goods or services. 

11.8 — Exercising Your Rights 

To exercise any of the rights described above, you may submit a verifiable consumer request to us by: 

Only you, or an authorized agent registered with the California Secretary of State acting on your behalf, may make a verifiable consumer request related to your personal information. You may also make a verifiable consumer request on behalf of your minor child. 

To verify your identity, we may ask you to provide information that matches the personal information we have on file. We will respond to your verifiable consumer request within forty-five (45) calendar days of receipt. If we require more time (up to an additional 45 days), we will inform you of the reason and extension period in writing. 

11.9 — Authorized Agents 

You may designate an authorized agent to make a request under the CCPA/CPRA on your behalf. To designate an agent, you must provide the agent with signed, written authorization, and we may require the agent to submit proof of authorization along with the request. We may also require you to verify your identity directly with us before we process the agent's request. 

11.10 — Retention of Personal Information 

We retain personal information for as long as necessary to fulfill the purposes described in these Terms and our Privacy Policy, unless a longer retention period is required or permitted by law. The criteria used to determine our retention periods include: (i) the length of time we have an ongoing relationship with you; (ii) whether there is a legal obligation to which we are subject; (iii) whether retention is advisable in light of our legal position (such as applicable statutes of limitations, litigation, or regulatory investigations).

12. COOKIES & TRACKING TECHNOLOGIES 

The Site sets a small number of strictly-necessary cookies (security, authentication, 

load balancing) by default. All other cookies and similar technologies — including 

those used for site analytics and the chat widget — are loaded only after you provide 

affirmative consent through our cookie banner. You may withdraw consent at any time 

through the banner control or by clearing cookies in your browser. For the full list

13. DATA SECURITY 

Sweet Leaf Finance implements commercially reasonable administrative, technical, and physical safeguards designed to protect your personal information from unauthorized access, disclosure, alteration, or destruction. These measures include, but are not limited to: 

  • Encryption of sensitive data in transit (TLS/SSL) and at rest; 

  • Access controls and role-based permissions for employee access to personal information; 

  • Regular security assessments and vulnerability testing; 

  • Employee training on data protection and privacy practices. 

Notwithstanding the foregoing, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

14. DISCLAIMER OF WARRANTIES 

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SWEET LEAF FINANCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 

SWEET LEAF FINANCE DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SITE WILL BE CORRECTED; OR (D) THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. LIMITATION OF LIABILITY 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWEET LEAF FINANCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF SWEET LEAF FINANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

IN NO EVENT SHALL SWEET LEAF FINANCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE TOTAL AMOUNT YOU HAVE PAID TO SWEET LEAF FINANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. IN NO EVENT SHALL SWEET LEAF FINANCE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED FIVE HUNDRED DOLLARS ($500.00) OR THE TOTAL AMOUNT YOU HAVE PAID TO SWEET LEAF FINANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. 

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16. INDEMNIFICATION 

You agree to indemnify, defend, and hold harmless Sweet Leaf Finance, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any information or content you submit to the Site; or (e) your violation of any applicable law or regulation, including cannabis-related laws and regulations.

17. CANNABIS INDUSTRY-SPECIFIC DISCLAIMERS 

Federal Law Acknowledgment. You acknowledge that cannabis (including marijuana, as defined under the Controlled Substances Act, 21 U.S.C. § 812) remains a Schedule I controlled substance under federal law. While numerous states have enacted legislation permitting the medical and/or adult-use of cannabis, cannabis-related activities may still constitute a violation of federal law. Sweet Leaf Finance's services are offered in reliance upon state and local laws that authorize cannabis-related business activities. 

No Guarantee of Continued Legality. Sweet Leaf Finance makes no representation or warranty regarding the continued legality of cannabis-related activities in any jurisdiction. Changes in federal, state, or local law may affect the availability of our services, your ability to operate a cannabis business, or the enforceability of any financing agreement. 

License Compliance. Borrowers must maintain all required licenses and permits throughout the term of any financing arrangement. Failure to maintain compliance with applicable cannabis licensing requirements may constitute a default under any loan agreement. 

Banking and Financial Risks. You acknowledge that the cannabis industry faces unique financial challenges, including limited access to traditional banking services. Sweet Leaf Finance assumes no liability for any loss, disruption, or inconvenience arising from banking restrictions, account closures, or other financial access limitations affecting your cannabis business.

18. DISPUTE RESOLUTION & ARBITRATION 

Informal Resolution. Before filing any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Site ("Dispute") by contacting us at privacy@sweetleaffinance.com. We will attempt to resolve the Dispute informally within thirty (30) days of receipt of your notice. 

Binding Arbitration. If a Dispute cannot be resolved informally, you and Sweet Leaf Finance agree that any Dispute shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") or JAMS in accordance with its then-current rules. The arbitration shall take place in Wilmington, Delaware, or by remote videoconference at the parties' mutual agreement. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. 

Class Action Waiver. YOU AND SWEET LEAF FINANCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. 

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19. GOVERNING LAW & JURISDICTION 

These Terms shall be governed by and construed in accordance with the laws of the 

State of Delaware, without regard to its conflict-of-law provisions. To the extent 

that arbitration does not apply, any legal action or proceeding arising under these 

Terms shall be brought exclusively in the state or federal courts located in 

Wilmington, Delaware, and you hereby irrevocably consent to the personal jurisdiction 

and venue therein.​ 

20. MODIFICATIONS TO TERMS 

Sweet Leaf Finance reserves the right to modify or replace these Terms at any time at its sole discretion. If a revision is material, we will provide at least thirty (30) days notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. 

Notice of changes may be provided by: (a) posting the revised Terms on the Site with a new "Last Updated" date; (b) sending an email to the address associated with your account; or (c) displaying a prominent notice on the Site. Your continued use of the Site after the effective date of the revised Terms constitutes your acceptance of the changes.

21. TERMINATION 

We may terminate or suspend your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. 

All provisions of the Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, limitations of liability, and the arbitration and dispute resolution provisions.

22. SEVERABILITY 

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the offending provision shall be severed, and the remaining provisions shall continue in full force and effect.

23. ENTIRE AGREEMENT 

These Terms, together with the Privacy Policy and any other legal notices or policies published by Sweet Leaf Finance on the Site, constitute the entire agreement between you and Sweet Leaf Finance concerning the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

24. WAIVER 

The failure of Sweet Leaf Finance to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Sweet Leaf Finance.

25. ASSIGNMENT

Sweet Leaf Finance shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, embargoes, acts of civil or military authority, fire, floods, epidemics or pandemics, changes in law or regulation (including changes to cannabis-related laws), strikes, lockouts, transportation difficulties, or any other event beyond our reasonable control.
